Terms of Service

Please read these terms carefully before engaging our services. By working with A-Vibe Web Development Hub, you agree to be bound by the conditions outlined below.

Important: These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and A-Vibe Web Development Hub ("A-Vibe", "we", "us", or "our"), a web development company operating in Lagos, Nigeria. By requesting, commissioning, or using any of our services, you confirm that you have read, understood, and agreed to these Terms in full.

Acceptance of Terms

By engaging A-Vibe Web Development Hub โ€” whether through our website contact form, email, phone, WhatsApp, or any other channel โ€” you confirm your acceptance of these Terms of Service. These terms apply to all services we provide, including but not limited to website design, web application development, management systems, school portals, e-commerce stores, and ongoing maintenance.

If you do not agree with any part of these Terms, you must not commission or use our services. We reserve the right to update or modify these Terms at any time. The most current version will always be published on this page. Continued use of our services following any changes constitutes your acceptance of the updated Terms.

These Terms apply to individual clients, business owners, schools, organisations, and any other entity that engages A-Vibe Web Development Hub for services.

Services Provided

A-Vibe Web Development Hub offers the following categories of digital services:

  • Website Design & Development โ€” custom, responsive websites tailored to your brand and business goals.
  • Web Application Development โ€” bespoke web apps, booking systems, dashboards, and portals using PHP, MySQL, and JavaScript.
  • Management Systems โ€” HR, inventory, hospital, hotel, finance, and other industry-specific management software.
  • School Result Portals โ€” student portals, result management systems, and academic platforms for educational institutions.
  • E-commerce Websites โ€” fully functional online stores with payment gateway integrations (Paystack, Flutterwave).
  • E-wallet & Gift Card Platforms โ€” secure digital payment and gift card exchange systems.
  • Maintenance & Support โ€” post-launch updates, bug fixes, performance monitoring, and technical support.
  • Hosting & Domain Services โ€” web hosting, domain registration, SSL certification, and email setup.

The exact scope, features, and deliverables for any project will be defined in a separate Project Agreement or Quotation document issued by A-Vibe and agreed upon by both parties before work commences.

Project Agreement & Scope

Every project begins with a formal agreement โ€” typically a written quotation, project brief, or proposal โ€” that outlines the deliverables, timeline, features, pricing, and any specific terms unique to that project. This agreement must be approved by the client before work begins.

Scope creep notice: Any features, pages, or functionality not explicitly listed in the agreed project scope are considered out-of-scope and will be subject to additional charges. We will always inform you before undertaking out-of-scope work.

Changes to the project scope after agreement has been signed must be requested in writing and may result in adjustments to the timeline and cost. A-Vibe reserves the right to decline scope changes that significantly alter the nature of the original project.

A-Vibe will make reasonable efforts to meet the agreed specifications. If any agreed feature is technically unfeasible, we will communicate this promptly and propose suitable alternatives.

Payment Terms

All fees are quoted in Nigerian Naira (โ‚ฆ) unless otherwise agreed. Our standard payment structure is as follows:

  • All payments are to be made via bank transfer to the account details provided on your invoice. We accept no cash payments.
  • Work will not commence until the initial deposit is received and confirmed.
  • Final deliverables (source files, live deployment, login credentials) will not be released until the full balance is settled.
  • Invoices unpaid beyond 14 days of the due date may attract a 5% late fee per additional 7-day period.
  • All quoted prices are exclusive of third-party costs such as domain registration, hosting fees, payment gateway charges, SMS API costs, and stock photography, unless explicitly included in the quotation.
  • Prices are subject to change. Any revision to a quote will be communicated before acceptance.

We do not offer refunds once work has commenced. If a project is cancelled mid-way, the deposit is non-refundable. Any work completed up to the point of cancellation may attract additional charges.

Intellectual Property

Upon receipt of full and final payment, all intellectual property rights to the completed project โ€” including design files, source code, and digital assets specifically created for your project โ€” are transferred to you, the client.

Until full payment is received, A-Vibe retains full ownership of all work created, including any work-in-progress files, designs, code, and associated intellectual property.

  • A-Vibe retains the right to display completed projects in our portfolio, website, and marketing materials unless you request otherwise in writing.
  • Third-party assets (fonts, stock images, plugins, libraries) remain subject to their respective licences. It is the client's responsibility to ensure compliance with third-party terms for ongoing use.
  • A-Vibe's own frameworks, code libraries, methodologies, and reusable components remain the intellectual property of A-Vibe and are provided under licence for use within your project only.
  • You must not resell, redistribute, or sub-licence our work to third parties without prior written consent.

Client Responsibilities

A successful project is a collaborative effort. To ensure timely and quality delivery, you as the client are expected to:

  1. Provide accurate, complete, and timely information, content, and materials required for the project (text, images, logos, brand guidelines, etc.).
  2. Respond to requests for feedback, approvals, and clarifications within a reasonable timeframe (we recommend within 3 business days).
  3. Ensure that any content, images, or materials you provide do not infringe on the intellectual property rights of third parties.
  4. Designate a single point of contact from your organisation to avoid conflicting instructions.
  5. Make payments according to the agreed schedule.
  6. Notify A-Vibe promptly of any changes in your requirements or circumstances that may affect the project.
  7. Ensure that your use of the delivered product complies with all applicable Nigerian and international laws and regulations.

A-Vibe is not liable for delays, errors, or quality issues arising from incomplete, inaccurate, or late provision of client-supplied materials.

Revisions & Changes

Revisions are a natural part of the creative process. Our revision policy is as follows:

  • Each project package includes a specified number of revision rounds as stated in your quotation. Standard packages typically include 2โ€“3 rounds of revisions.
  • A revision round is defined as a consolidated list of changes submitted in a single communication. Multiple individual requests sent at different times may count as separate revision rounds.
  • Revisions that fall within the agreed scope are carried out at no extra charge within the allotted rounds.
  • Additional revision rounds beyond the allotted number will be billed at our current hourly rate, which will be communicated to you before work proceeds.
  • Revisions that constitute a change in direction, concept, or scope are not covered under standard revision rounds and will be quoted separately.

We encourage clients to consolidate all feedback into a single document per revision round. This helps us work efficiently and ensures nothing is missed.

Timelines & Delays

Project timelines are estimated based on the scope of work agreed at the start. A-Vibe will make every reasonable effort to meet agreed deadlines. However, timelines are contingent on both parties meeting their obligations.

  • Timelines begin from the date the initial deposit is received and all required project materials have been provided by the client.
  • If the client causes delays โ€” through late feedback, late content provision, or extended periods of non-communication โ€” the project timeline will be extended accordingly with no penalty to A-Vibe.
  • If a project is placed on hold at the client's request for more than 30 days, A-Vibe reserves the right to re-prioritise other work and may charge a project resumption fee.
  • Delays caused by factors outside our control (force majeure, third-party service outages, natural disasters, etc.) will not constitute a breach of contract.
  • A-Vibe will communicate any anticipated delays as early as possible and work proactively to minimise impact.

Confidentiality

Both parties agree to maintain the confidentiality of each other's proprietary information shared during the course of the project. This includes business strategies, user data, technical architectures, financial information, and any other information reasonably understood to be confidential.

  • A-Vibe will not disclose your confidential information to third parties without your prior written consent, except where required by Nigerian law or court order.
  • Confidential information does not include information that is publicly available, independently developed, or received from a third party without restriction.
  • These confidentiality obligations remain in effect for 3 years after the conclusion of the project, unless a separate NDA specifies otherwise.
  • If your project requires a formal Non-Disclosure Agreement (NDA), please inform us before work commences and we will accommodate this request.

With respect to data privacy, A-Vibe will handle any personal data encountered during the project in accordance with the Nigeria Data Protection Act (NDPA) and our Privacy Policy.

Warranties & Limitation of Liability

A-Vibe warrants that:

  • All work will be carried out with reasonable skill, care, and professionalism.
  • Delivered products will substantially conform to the agreed specifications.
  • We hold all rights necessary to provide the services and deliverables under these Terms.

We do not warrant that:

  • The delivered product will be entirely free of minor bugs or errors (though we commit to fixing any reported issues within the support period).
  • Third-party services, APIs, or platforms we integrate with will remain available or unchanged.
  • The product will achieve specific business outcomes such as increased sales, traffic, or rankings, as these depend on many factors outside our control.
Limitation of liability: To the maximum extent permitted by Nigerian law, A-Vibe's total liability to you in connection with any project shall not exceed the total fees paid by you to A-Vibe for that specific project. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

Termination

Either party may terminate a project engagement under the following conditions:

  • Termination by client: You may terminate the agreement at any time by providing written notice. All fees for work completed up to the date of termination remain payable. The initial deposit is non-refundable under all circumstances.
  • Termination by A-Vibe: We reserve the right to terminate the agreement if you breach these Terms, fail to make agreed payments, or engage in conduct that makes continuation of the project unreasonable. In such cases, all work completed will be invoiced and must be paid before any deliverables are transferred.
  • Mutual termination: Both parties may agree in writing to terminate the project on mutually acceptable terms.

Upon termination, each party shall return or destroy the other's confidential information as requested, and any licences granted under this agreement shall cease immediately.

Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or any project engagement shall be handled as follows:

  1. Good-faith negotiation: Both parties will first attempt to resolve any dispute through direct, good-faith discussion within 14 days of a dispute being raised.
  2. Mediation: If direct negotiation fails, either party may request formal mediation through a mutually agreed mediator.
  3. Legal proceedings: If mediation is unsuccessful, either party may pursue legal proceedings. Both parties agree to submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
